Whatnot Gems Rewards Program Terms And Conditions

1. General Application of Terms. These Whatnot Gems Rewards Program Terms and Conditions (the “Gems Terms”) apply to any access to and/or participation in the Whatnot Inc. (“Whatnot,” “we,” “us,” or “our”) points based rewards program made available to you via the App (the “Gems Rewards Program”) existing now or in the future. These Gems Terms incorporate the then current Whatnot Terms of Service (the “Whatnot Terms”), which apply to you when you use the Gems Rewards Program or otherwise participate in the Gems Rewards Program. The Gems Rewards Program is part of the App, and any reference to the App in the Whatnot Terms also includes the Gems Rewards Program. Capitalized terms used but not defined in these Gems Terms shall have the respective meanings given to them in the Whatnot Terms. To the extent of any conflict between these Gems Terms and the Whatnot Terms, these Gems Terms will govern solely with respect to your participation in the Gems Rewards Program. 

The Gems Rewards Program is offered for entertainment purposes only and its rules, terms, conditions, benefits, or Gems may be modified by Whatnot as further described in Section 6 of the Gems Terms. Such changes may affect your Gems (as defined below).

2. Eligibility. The Gems Rewards Program is open to buyers who are: (i) residents of any region where the Gems Reward Program is offered in the App, subject to any applicable local terms and restrictions; (ii) at least 18 years old and eligible to use the App; and (iii) not currently in any violation category as outlined in Whatnot’s Community Guidelines. Whatnot reserves the right to terminate, suspend, or disqualify you from participating in the Gems Rewards Program if Whatnot has reason to believe that you may have violated these Gems Terms or any other applicable rules, including the Community Guidelines or Whatnot Terms of Service that apply to you based on your region.

3. About the Gems Rewards Program. The Gems Rewards Program was designed to foster and recognize active community engagement with the App. The Gems Rewards Program may permit users to accrue non-monetary “gems” to be associated with the user’s account (“Gems”). Please read the below terms carefully to understand how the Gems Rewards Program works. 

1. Availability. You will be assigned Gems for qualifying actions made through the App on and after the launch of the Gems Rewards Program. 

2. Earning Gems. Buyers can earn Gems for certain qualifying actions as communicated by Whatnot through the App from time to time. For example, Whatnot may post a daily challenge. The number of Gems awarded, the actions that qualify for earning Gems, and the availability of such actions may change from time to time at Whatnot’s discretion. Some users may receive personalized Gems challenges that differ from those of other users, and users in some regions may receive different Gems challenges than those in other regions.

3. Limitations, Restrictions and Other Terms. Gems cannot be purchased, are not your property, are not money, may expire as described in these Gems Terms, and have no value prior to redemption. Rewards (as defined below) have no cash value and cannot be withdrawn or redeemed for cash value or in any other way. Gems are not transferable between users, and you may not attempt to sell, trade, or transfer any Gems or obtain any external benefit using Gems. Upon redemption, additional terms may apply. Without limiting the foregoing, Rewards are not descendible and may not be transferred by operation of law (including via inheritance, bankruptcy, or in the event of divorce). Any attempt to sell, trade, or transfer any Gems will be null and void, and may result in the Gems balance being reduced to zero.

4. No Cash Value. All Gems assigned under the Gems Rewards Program have no value, including no cash value, are non-transferable, and may be modified or discontinued at any time without any notice to you.

4. Redeeming Your Gems in the Gems Store.

1. General. You may redeem your Gems in the Gems store in the App for coupons, digital effects (for example, reactions to send during live shows), and any other Gems-related rewards that may be made available to you in the App from time to time (“Rewards”). Once Gems are redeemed for Rewards, you may access them in the Rewards tab of the Gems Rewards Program hub in the App. Some Rewards may be subject to additional terms, conditions, restrictions, or limitations, which will be disclosed in conjunction with the opportunity to redeem the applicable Gems or added to these Gems Terms from time to time. Whatnot reserves the right, in its sole discretion and at any time and from time to time, to modify, substitute, suspend, or discontinue any Reward, including the nature, availability, value, benefits, or terms applicable to such Reward, as well as the number of Gems required to redeem any Reward, without prior notice.

2. Coupons. Coupons can be offered in either percentage-off or amount-off formats (the “Coupons”). If you redeem your Gems for a Coupon, the additional terms regarding Coupons, which will be displayed to you in the Gems store, apply to you. Coupons may not be available in the Gems store at all times, and the Gems valued to redeem a given Coupon is subject to change at any time.

3. Regional Availability. The Gems Rewards Program may be made available in multiple countries or regions. Your Gems balance is associated with your account and, unless otherwise specified by Whatnot, will remain the same if you access the App or participate in the Gems Rewards Program from a different supported country or region. However, the Rewards available for redemption may vary by country or region, and certain Rewards (including Coupons) may be denominated in a specific currency and may only be redeemable or usable in connection with eligible purchases or live shows conducted in that same currency. Digital or other non-currency-specific Rewards that you have redeemed will remain associated with your account regardless of location. Whatnot reserves the right to modify, limit, or make country-specific any aspect of the Gems Rewards Program, including account balances, Reward availability, or redemption mechanics, at any time in its sole discretion.

5. Limitations, Restrictions, and Other Terms

1. Whatnot’s Determinations. Whatnot’s determinations of User eligibility or any questions or disputes arising under the Gems Rewards Program, these Gems Terms, or any other Gems Rewards Program rules or restrictions shall be final and binding. 

2. Reservation of Right. For the purposes of operating the App, to ensure legal compliance, to prevent fraud or other harm, Whatnot reserves the right to: (i) monitor your access to, participation in, and/or your use of the Gems Rewards Program or (ii) take any other action(s) that Whatnot reasonably deems appropriate. For clarity, Whatnot does not have any duty to monitor use of the Gems Rewards Program or otherwise act in any such respect. 3. No Membership Fees. There are no membership fees associated with the Gems Rewards Program, although use of online services in conjunction with participation in the Gems Rewards Program may result in data charges, internet access fees or similar expenses, all of which are your sole responsibility. 

4. Disclaimer. The Gems Rewards Program is provided “AS IS” and “AS AVAILABLE” and, for clarity, is subject to the disclaimers and limitations of liability in the Whatnot Terms. 

6. Modifications. 

1. Modifications to the Gems Rewards Program. Whatnot reserves the right to modify or terminate the Gems Rewards Program or any portion of the program at any time. In the event Whatnot elects to terminate the Gems Rewards Program, we will comply with applicable law with respect to such termination. Whatnot will not be liable to you in the event of any modification, suspension, or discontinuance of the Gems Rewards Program.

2. Modifications to the Gems Terms. Whatnot reserves the right to update these Gems Terms and/or any other applicable policies pertaining to the Gems Rewards Program from time to time. If we change or modify the Gems Terms, we will revise the “last updated” date located at the top of these Gems Terms and, unless otherwise specified, any changes or modifications will be effective immediately upon posting the revisions to the Gems Terms. If you continue to participate in the Gems Rewards Program by earning Gems, redeeming Gems, or otherwise participating in the Gems Rewards Program in any way after a change to these Gems Terms, you will be deemed to have read, understood and agreed to such changes. You should review these Gems Terms and applicable policies and FAQs frequently to understand the terms and conditions that apply to the Gems Rewards Program. If you do not agree to the Gems Terms, you should not participate in the Gems Rewards Program.
