Party Purchase Terms & Conditions

1. These Party Purchase Buy-It-Now ("BIN") Terms (the “Party Purchase Terms”) apply to your participation in the Party Purchase BIN feature (“Party Purchase Feature”) made available by Whatnot Inc. ("Whatnot", "we", "us", or "our"). These terms become part of our Terms of Service. Capitalized terms not defined here have the meanings given in the Terms of Service. To the extent of any conflict, these Party Purchase Terms govern solely with respect to your participation in the Party Purchase feature..

2. How the Party Purchase Feature Works. 

1. Overview. The Party Purchase Feature allows a Seller to offer one or more fixed-price Buy It Now items (each, a “Party BIN Item”) in connection with a live show on the App, where collective purchases of Party BIN Items across participating Buyers contribute toward one or more group goals communicated by the Seller (each, a “Party Goal”). If a Party Goal is achieved within the time window communicated by the Seller (the “Party Window”), a Buyer who has committed to purchase a Party BIN Item may receive an associated benefit (each, a “Party Reward”), as described below.

2. Commitment to Purchase. When you select a Party BIN Item during a Party Window, you place an order to purchase that Party BIN Item at the price displayed at the time of your selection (the “List Price”) and authorize Whatnot and its Payment Processors to charge your selected Payment Method for the applicable amount as described in Section 3. By selecting a Party BIN Item, you are making a binding commitment to purchase that Party BIN Item (a “Commitment”) for the List Price. Your Commitment is not contingent on the Party Goal being achieved, except as expressly stated in these Party Purchase Terms.

3. Party Rewards Are Conditional and Not Guaranteed. Any Party Reward (including any discount, refund, credit, giveaway entry, exclusive drop access, gift-with-purchase, or other benefit) is conditional on the applicable Party Goal being achieved within the Party Window, as determined by Whatnot in its reasonable discretion. Party Rewards are not guaranteed. The full List Price is the default outcome of any Commitment. If the Party Goal is not achieved within the Party Window, no Party Reward will be applied and you will be charged the full List Price as described in Section 3.

4. Seller-Set Mechanics. The Party BIN Item(s), Party Goal(s), Party Window, and Party Reward(s) applicable to any given Party Purchase offering are set by the applicable Seller within the parameters made available by Whatnot. Whatnot does not set or guarantee any pricing, discount level, or reward content. Whatnot is not a party to the underlying Transaction between you and the Seller and disclaims all liability arising from the Seller’s setup or operation of the Party Purchase offering, except as expressly stated in these Party Purchase Terms and Conditions or our Terms of Service.

3. Payment Authorization and Charge Mechanics.

1. Authorization. When you make a Commitment, you authorize Whatnot and its Payment Processors to charge your selected Payment Method for the List Price of the Party BIN Item (plus applicable Taxes, shipping fees, and any other disclosed fees) in accordance with this Section 3. 

2. Pre-Authorization Holds. Whatnot may, in its sole discretion, place a pre-authorization hold on your Payment Method for an amount up to the List Price at the time of Commitment. This hold may be visible on your card statement as a “pending” or “processing” transaction. Whatnot will release any such hold (or capture the applicable amount) following the close of the Party Window or earlier determination of the Party Goal, as applicable. The timing for release of any hold on your Payment Method is controlled by your card issuer or Payment Processor and may not be immediate.

3. Acknowledgement of Charge Amount Variability. You acknowledge and agree that, depending on whether the Party Goal is achieved, the amount actually charged to your Payment Method for a Commitment may differ from the amount initially authorized or held at the time of your Commitment, and that the final amount may be more or less than any pre-authorization amount but will not exceed the List Price (plus applicable Taxes, shipping fees, and other disclosed fees). You authorize Whatnot to charge your Payment Method for the final applicable amount as described in this Section 3.

4. Taxes; Shipping; Other Fees. The taxable amount and any applicable shipping fees may be recalculated if a Party Reward (such as a discount) is applied. You are responsible for all applicable Taxes, shipping fees, and other charges as described in our Terms of Service and as disclosed at the time of Commitment.

5. Cancellations and Refunds. Party BIN Item purchases are subject to the return policy and cancellation rules as set forth in our Terms of Service and FAQs. Whatnot may, in its sole discretion, allow Buyers to cancel a Commitment prior to the end of the Party Window or prior to charging your Payment Method; the availability and process of any such cancellation will be communicated by Whatnot through the App.

4. Determinations.

Whatnot’s determinations regarding (a) whether and when a Party Goal has been achieved, (b) the calculation of progress toward a Party Goal, (c) the application or denial of any Party Reward, (d) the eligibility of any Transaction or Buyer, and (e) any other questions or disputes arising under the Party Purchase Feature or these Party Purchase Terms are final and binding, subject to your rights under applicable law and the Terms of Service. Whatnot may, in its reasonable discretion, exclude any Transaction from counting toward a Party Goal (for example, where Whatnot determines that the Transaction was fraudulent, made in bad faith, or otherwise inconsistent with these Party Purchase Terms or the Terms of Service).

5. Additional Terms for Certain Party Rewards.

Certain Party Rewards (including without limitation giveaway entries, sweepstakes entries, and exclusive drops) may be subject to additional terms, conditions, official rules, or eligibility requirements communicated by the Seller or by Whatnot at the time the Party Reward is made available. Such additional terms supplement, and (where in conflict) supersede, these Party Purchase Terms with respect to the applicable Party Reward only. You are responsible for reviewing any such additional terms before relying on a Party Reward. Where Whatnot is not the sponsor of a giveaway, sweepstakes, or similar promotion, the Seller (and not Whatnot) is solely responsible for compliance with all applicable laws and the official rules of such promotion, as further described in our Terms of Service (see Whatnot Promotions Guidelines). Party Rewards are calculated separately subject to the terms generally applicable to rewards. For clarity, Party Rewards are only available through the Party Purchase Feature and are separate from any other rewards you may have earned on the App (e.g., Rewards Club, Gems Rewards Program, etc.).

6. Limitations and Other Terms.

1. No Resale or Transfer. Party Rewards have no cash value, cannot be exchanged for cash or credit (except as expressly stated in their additional terms), and are not transferable. Any attempt to sell, trade, or transfer a Party Reward is void.

2. Eligibility. The Party Purchase Feature is available only to Buyers who are otherwise eligible to use the App under the Terms of Service and the Community Guidelines, and who satisfy any additional eligibility criteria disclosed at the time of the Party Purchase offering. Whatnot reserves the right to suspend or terminate your access to the Party Purchase Feature in accordance with the Terms of Service.

3. Disclaimer. THE PARTY PURCHASE FEATURE IS PROVIDED “AS IS” AND “AS AVAILABLE” AND, FOR CLARITY, IS SUBJECT TO THE DISCLAIMERS AND LIMITATIONS OF LIABILITY IN THE TERMS OF SERVICE.

7. Modifications and Termination.

1. Modifications to the Party Purchase Feature. Whatnot reserves the right to modify, suspend, or terminate the Party Purchase Feature or any portion of it at any time. Whatnot will not be liable to you in the event of any such modification, suspension, or discontinuation, to the extent permitted by applicable law.

2. Modifications to These Party Purchase Terms. Whatnot reserves the right to update these Party Purchase Terms from time to time. If we change or modify these Party Purchase Terms, we will revise the “Last Updated” date at the top of these Party Purchase Terms and, unless otherwise specified, any changes or modifications will be effective immediately upon posting. If you continue to use the Party Purchase Feature after a change to these Party Purchase Terms, you will be deemed to have accepted such changes. You should review these Party PurchaseTerms and applicable policies and FAQs frequently to understand the terms and conditions that apply to the Party Purchase Feature.

1. General. The provisions of our Terms of Service regarding governing law, jurisdiction, dispute resolution (including arbitration and class action waiver), notices, and general terms apply to these Party Purchase Terms and to your use of the Party Purchase Feature.
