Sponsored by Whatnot Inc. ("Sponsor" or "Whatnot")
BY PARTICIPATING IN THE PROGRAM, YOU AGREE TO THESE "OFFICIAL TERMS AND CONDITIONS," WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE PARTICIPATING.
1. PROGRAM PERIOD
The Pre-Authentication Launch Promotion (the "Program") begins on October 23, 2025 at 12:00:01 AM Eastern Time and ends on December 31, 2025 at 11:59:59 PM Eastern Time (the "Program Period"). The Program consists of three (3) monthly qualification periods: October 23-31, 2025, November 2025, and December 2025. Sponsor's clock will be the official timekeeper for the Program.
2. ELIGIBILITY
Open only to legal residents of the 50 United States and D.C., who are eighteen (18) years of age or older and have a valid Whatnot seller account in good standing. Participants must be approved to sell in the Luxury category on Whatnot.
Excluded from participation: Employees, officers, and directors of Whatnot Inc., their affiliates, subsidiaries, advertising and promotion agencies, and immediate family members or persons living in the same household. Sellers participating in other Whatnot promotional programs during the Program Period are not eligible. This Program cannot be combined with other Whatnot authentication promotional programs.
3. HOW TO PARTICIPATE
To qualify for monthly selection, participants who meet the following requirements will be automatically entered:
a. Authentication Requirement: Authenticate at least fifty (50) Luxury items during each monthly qualification period using either Entrupy or Real Authentication services.
b. COA Requirements: For each authenticated item to count toward the fifty (50) item minimum:
- Add a link to the Entrupy or Real Authentication COA in your listing description
- Ensure the product images on the COA match the product images in your listing
- Your business name must match the name on your COA
- You may not reuse or duplicate COAs
- Your account must be in good standing with Whatnot
- You must be approved to sell in Luxury Bags & Accessories
c. Account Standing: Maintain a Whatnot account in good standing throughout the Program Period.
d. Category Approval: Remain approved to sell in the Luxury category throughout the Program Period.
4. SELECTION PROCESS
Each month during the Program Period, Sponsor will select up to ten (10) qualifying participants to receive the monthly promotion. If ten (10) or fewer participants meet the authentication requirements set forth in Section 3, all qualifying participants will be selected. If more than ten (10) participants meet the requirements in any given month, ten (10) recipients will be selected by random drawing from all qualifying participants.
5. PROMOTION
Selected participants will receive $200 in Whatnot credits to be applied to their seller account. Credits are non-transferable. Credits must be used within twelve (12) months of issuance and are subject to Whatnot's standard terms of service. Approximate Retail Value ("ARV") per monthly promotion: $200.
6. NOTIFICATION
Selected participants will be notified via email within ten (10) business days after the end of each monthly qualification period. Participants must respond within five (5) days to confirm acceptance or the promotion may be forfeited. ALL POTENTIAL RECIPIENTS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROGRAM.
7. TAXES
Recipients are solely responsible for all applicable federal, state, and local taxes and may be required to complete a W-9 and provide a valid Social Security Number or other taxpayer ID for tax reporting purposes. If required by law, Sponsor will issue an IRS Form 1099. Failure to provide the required information may result in forfeiture of the promotion.
8. GENERAL CONDITIONS
By participating, participants agree to be bound by these Official Terms and Conditions and the decisions of Sponsor, which are final. Sponsor reserves the right to disqualify any participant who tampers with the authentication process, provides false information, violates COA requirements, or otherwise violates these terms. Sponsor is not responsible for authentication service outages, technical malfunctions, or third-party service provider issues that may affect participation.
Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Program if it becomes incapable of running as planned for any reason, including but not limited to fraud, technical failures, or any other causes beyond Sponsor's control.
9. RELEASE & LIMITATION OF LIABILITY
By participating, participants release and hold harmless Sponsor, Entrupy, Real Authentication, and their respective affiliates, officers, directors, employees, and agents from any and all liability, loss, or damage arising from or in connection with participation in the Program or the receipt or use of any promotion. Participants waive all right to, and hold the Promotion Parties harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys' fees) arising out of or in connection with participation in this Program.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.
10. PUBLICITY
Except where prohibited, by participating in the Program, you consent to the use of your Whatnot username, name, photo and/or likeness, biographical information, and statements attributed to you (if true) for advertising and promotional purposes, including without limitation, inclusion in the Whatnot App and Sponsor's website and social media channels, without additional compensation.
11. PRIVACY
Information submitted in connection with Program participation is subject to Sponsor's Privacy Policy at https://www.whatnot.com/privacy. Sponsor and its agents, affiliates, subsidiaries, representatives or service providers may use participants' personal information for purposes of promotion fulfillment and/or for future marketing by Sponsor, as permitted by law.
12. GOVERNING LAW & VENUE
These Official Terms and Conditions are governed by the law of the State of California, without reference to rules governing choice of laws. Any action, suit or case arising out of, or in connection with, this Program or these Official Terms and Conditions must be brought in the courts located in Los Angeles County, California.
13. ADDITIONAL DISCLOSURES
This Program is in no way sponsored, endorsed, or administered by, or associated with Entrupy or Real Authentication. All trademarks are the property of their respective owners.
Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the authentication process or the operation of the Program or to be acting in violation of these Official Terms and Conditions or in an unsportsmanlike or disruptive manner.
